Terms of Service

1. Service Description
TruePath Accounting ("the Service") is a cloud-based accounting software platform operated by TruePath Professional Services Group ("TruePath," "we," "us," or "our"). The Service provides double-entry bookkeeping, invoicing, bank reconciliation, financial reporting, and related accounting functionality delivered as a software-as-a-service (SaaS) application.
By creating an account or using the Service, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Electronic Consent and Agreement
By checking the acceptance boxes and clicking "Accept and Continue" during account setup, you consent to these Terms and our Privacy Policy through an electronic signature. This electronic acceptance constitutes a legally binding agreement under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA) as adopted in the State of Alabama.
You agree that your electronic acceptance has the same legal force and effect as a handwritten signature. You consent to receive all communications, agreements, and notices electronically, including any future amendments to these Terms.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service in any way that violates applicable federal, state, local, or international law or regulation.
- Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
- Use the Service to transmit any malware, viruses, or other malicious code.
- Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
- Reverse engineer, decompile, or disassemble any aspect of the Service.
- Use the Service to process data for any illegal financial activity, including money laundering or tax evasion.
4. User Responsibilities
You are responsible for:
- Data Accuracy. Ensuring that all financial data, transactions, and records you enter into the Service are accurate and complete. TruePath does not verify the accuracy of your financial data and is not responsible for errors arising from incorrect data entry.
- Backup Recommendations. While we maintain regular backups of Service data, we strongly recommend that you maintain your own independent backups of critical financial records. You may export your data at any time using the Service's export functionality.
- Account Security. Maintaining the confidentiality of your account credentials and restricting access to your account. You are responsible for all activities that occur under your account.
- Compliance. Ensuring that your use of the Service complies with all applicable accounting standards, tax regulations, and reporting requirements in your jurisdiction.
5. Data Ownership and Intellectual Property
You retain full ownership of all data you input into or generate through the Service ("Your Data"). TruePath acts solely as a data processor on your behalf and does not claim any ownership rights over Your Data.
You grant TruePath a limited, non-exclusive license to use, store, and process Your Data solely for the purpose of providing and improving the Service. We will not sell, share, or use Your Data for any purpose other than delivering the Service to you, except as required by law.
TruePath retains all right, title, and interest in and to the Service, including all software, code, designs, algorithms, user interfaces, trademarks, service marks, logos, and other intellectual property embodied in or associated with the Service. Nothing in these Terms grants you any right to use TruePath's trademarks, logos, or branding without our prior written consent. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you create derivative works based on the Service.
6. Payment Terms
The Service is offered on a monthly subscription basis. By subscribing to a paid plan, you agree to the following:
- Billing Cycle. Subscriptions are billed monthly in advance on the same day each month. All prices are in United States Dollars (USD).
- Auto-Renewal. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through the billing management page.
- Plan Changes. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately, with a prorated charge for the remainder of the billing cycle. Downgrades take effect at the start of the next billing cycle.
- Late Payments. If payment fails, we will attempt to collect the outstanding balance. If payment remains uncollected after 14 days, your account may be suspended until the balance is resolved.
- Refunds. We do not offer refunds for partial billing periods. If you cancel mid-cycle, you will retain access to the Service through the end of the current billing period.
7. Third-Party Services
The Service integrates with third-party services including, but not limited to, payment processors (Stripe), authentication providers (Clerk), email delivery services (Resend), and bank data feeds. These integrations are provided for your convenience and are subject to the terms and conditions of the respective third-party providers.
TruePath is not responsible for the availability, accuracy, or reliability of third-party services, and shall not be liable for any losses, damages, or disruptions arising from the failure, modification, or discontinuation of any third-party service. Your use of third-party services through the Service is at your own risk and subject to the applicable third-party terms and privacy policies.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRUEPATH DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, DATA, OR CALCULATIONS PROVIDED THROUGH THE SERVICE.
TruePath does not guarantee any specific level of uptime or availability. We will use commercially reasonable efforts to maintain the availability of the Service, but the Service may be subject to scheduled maintenance, unscheduled downtime, and interruptions beyond our control. No service level agreement (SLA) is provided unless separately agreed to in writing.
The Service is not a substitute for professional accounting, tax, or legal advice. TruePath is not a certified public accounting firm and does not provide audit, attestation, or assurance services.
9. Tax Form Generation and Financial Reports
The Service includes functionality to generate documents styled after IRS tax forms (including but not limited to Schedule C, Schedule SE, Form 1096, Form 1099-NEC, and Form 4562) and other financial reports. By using these features, you acknowledge and agree to the following:
- Not Tax Advice. TruePath is not a certified public accounting firm, enrolled agent, tax preparer, or legal advisor. The generation of tax-related documents does not constitute tax, legal, or accounting advice. These documents are provided solely as a convenience to help organize your financial data for review by a qualified tax professional.
- Not for Direct Filing. Tax form documents generated by the Service are not intended for direct submission to the Internal Revenue Service (IRS), any state taxing authority, or any other governmental agency. They are informational worksheets designed to assist you and your tax professional in preparing your official tax filings.
- User Responsibility for Accuracy. All figures in generated tax documents are derived entirely from data you have entered into the Service. TruePath does not independently verify, review, audit, or validate your financial data. You are solely responsible for ensuring the accuracy, completeness, and appropriateness of all data used in these documents.
- Changing Tax Laws. Federal and state tax laws, rates, filing thresholds, form requirements, and deadlines change frequently. TruePath does not guarantee that generated documents reflect the most current tax law requirements. Always consult a qualified tax professional, CPA, or enrolled agent before preparing or filing any tax return.
- No Liability for Tax Consequences. TruePath assumes no liability whatsoever for any penalties, interest, additional taxes, audit assessments, or other adverse consequences arising from your use of or reliance on tax-related documents generated by the Service.
- Professional Consultation Required. You agree to consult with a qualified tax professional before relying on any tax-related document generated by the Service for tax filing, planning, or compliance purposes.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRUEPATH, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to, use of, or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service;
- Unauthorized access, use, or alteration of your transmissions or data;
- Errors, inaccuracies, or omissions in any financial calculations, reports, or data generated by the Service;
- Any tax penalties, audit assessments, or regulatory fines arising from your reliance on the Service.
IN NO EVENT SHALL TRUEPATH'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO TRUEPATH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless TruePath and its licensees and licensors, and their employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any intellectual property, property, or privacy right;
- Any claim that Your Data caused damage to a third party.
12. Termination and Data Return
Either party may terminate these Terms at any time. Upon termination or cancellation of your account:
- Data Export Window. You will have thirty (30) days from the date of termination to export Your Data from the Service. During this period, you will retain read-only access to your account for the purpose of data export.
- Data Deletion. After the 30-day export window, we will permanently delete Your Data from our systems, except where retention is required by law (e.g., financial records that must be retained per IRS requirements).
- Survival. Sections relating to Electronic Consent, Data Ownership and Intellectual Property, Disclaimer of Warranties, Tax Form Generation and Financial Reports, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law shall survive termination.
TruePath may suspend or terminate your account immediately if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law.
13. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, pandemics or epidemics, war, terrorism, riots, government actions or orders, embargoes, fire, flood, power outages, internet or telecommunications failures, cyberattacks, or failures of third-party service providers. The affected party shall use commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable.
14. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Alabama, and the language of the arbitration shall be English.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against TruePath.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Alabama.
16. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and TruePath regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
18. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. Notice will be provided via email to the address associated with your account and through a prominent notice within the Service. Updated Terms will require re-acceptance by an organization administrator before continued use of the Service.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.
